Our total liability to you for any claims arising from these Terms or your use of our services shall not exceed the amount you have paid to us in the twelve months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you.

Indemnification

You agree to indemnify and hold syncluxis harmless from any claims, damages, losses, and expenses (including reasonable legal fees) arising from:

  • Your infringement of third-party rights

Termination

Either party may terminate this agreement at any time:

Termination by You

You may stop using our services at any time. For paid services, cancellation will be effective at the end of your current billing period.

Termination by Us

We may suspend or terminate your access to our services if:

  • You breach these Terms
  • You fail to pay applicable fees
  • We are required to do so by law
  • We discontinue the services

Effect of Termination

Upon termination:

  • Your right to access our services will cease immediately
  • We will provide you with access to export your data for a reasonable period
  • All provisions that should survive termination will remain in effect

Governing Law

These Terms are governed by and construed in accordance with the laws of Portugal. Any disputes arising from these Terms or your use of our services will be subject to the exclusive jurisdiction of the courts of Porto, Portugal.

If you are a consumer resident in the European Union, you may also have the right to bring proceedings in the courts of your country of residence.

Dispute Resolution

Before initiating any legal proceedings, we encourage you to contact us directly to resolve any disputes. We are committed to working with you to find a mutually acceptable solution.

For consumer disputes within the EU, you may also use the European Commission's Online Dispute Resolution platform.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to be valid and enforceable. The invalid provision will be replaced with a valid provision that most closely reflects the intent of the original.

Entire Agreement

These Terms, together with our Privacy Policy and any additional terms for specific services, constitute the entire agreement between you and syncluxis regarding your use of our services.
